Group 1 Automotive to Acquire 10 Hennessy Dealerships in Atlanta for $1.3 Billion

Group 1 Automotive, Inc. (NYSE: GPI) disclosed in a July 30, 2026 Form 8-K filing that it has entered into a Purchase and Sale Agreement to acquire substantially all the assets of Hennessy Automobile Companies and its affiliated entities. The acquisition encompasses 10 automobile dealerships and one collision center operating in the greater Atlanta, Georgia market, a region Group 1 described as fast-growing and strategically important.

Deal structure and financing

The aggregate purchase price is approximately $1.3 billion, with an additional amount for remaining inventory assets to be determined based on a physical inventory conducted near closing. Group 1 will deposit $10 million into escrow within five business days, which will be credited toward the final purchase price. At closing, $80 million of the purchase price will be held in escrow as a contingent reserve for potential post-closing indemnification claims, with portions released to the sellers at three, nine, and 18 months after closing, subject to any pending claims.

To fund the acquisition, Group 1 has secured a commitment letter from JPMorgan Chase Bank for a 364-day senior unsecured bridge facility in the aggregate principal amount of $1.25 billion. The company expects to finance the purchase price through $1.25 billion of new debt, backstopped by this bridge commitment.

Conditions and timing

The transaction is subject to customary closing conditions, including receipt of required consents from applicable vehicle manufacturers and clearance under the Hart-Scott-Rodino Antitrust Improvements Act. The deal is expected to close no later than 160 days after the agreement date, with a possible extension to 190 days under certain circumstances related to manufacturer consents.

The sellers and principals, including Peter R. Hennessy, Mark W. Hennessy, and Stephen R. Hennessy, have agreed to customary non-competition and non-solicitation covenants lasting three years following the closing. A trademark license agreement will grant Group 1 a royalty-free license to use certain "Hennessy" trademarks during a limited transition period.

The same 8-K filing also included Group 1's second-quarter 2026 financial results. The company reported diluted earnings per share from continuing operations of $8.62, with adjusted diluted earnings per share of $9.61. The company noted that its U.S. segment showed sequential improvement in adjusted SG&A as a percentage of gross profit, improving by more than 400 basis points compared to the prior quarter.

The Atlanta acquisition represents a significant expansion of Group 1's dealership portfolio in a key Southeastern market.
