Lisata Therapeutics Terminates Kuva Labs Merger After Financing Failure

Lisata Therapeutics (NASDAQ: LSTA) announced on July 24, 2026, that it has terminated its merger agreement with Kuva Labs Inc., formally ending a deal that had been extended multiple times in recent weeks. The termination follows Kuva's inability to obtain sufficient financing to fund the all-cash tender offer, which expired on July 20, 2026, without Kuva accepting any tendered shares.

Under the original agreement, signed in March 2026, Kuva had agreed to acquire all outstanding shares of Lisata for $4.00 per share in cash, plus one contingent value right (CVR) per share. The CVRs carried the potential for two additional payments totaling up to $3.00 per CVR, contingent on the achievement of certain milestones. The deal represented a significant premium when announced in January, but financing hurdles proved insurmountable.

The merger's outside date had been extended several times, most recently on July 17 when the parties pushed the deadline to July 21. That four-day extension was the final attempt to salvage the transaction. When Kuva failed to close, Lisata exercised its right to terminate under Section 8.3(a) of the merger agreement.

Financial implications of the termination

As a result of the termination, Kuva is contractually obligated to pay Lisata a $2 million termination fee. Lisata also stated it reserves all rights to pursue additional legal remedies, including damages for willful breach and enforcement costs. However, the company cautioned that its ability to recover meaningful damages may be limited by its own constrained financial resources to fund litigation and by Kuva's potential inability to satisfy any judgment with its existing assets. Kuva has instructed the depositary agent to return all tendered shares to Lisata stockholders.

Strategic review underway

Lisata's board of directors plans to conduct an assessment of strategic options to enhance stockholder value. The review will consider a range of possibilities, including a reverse merger, other business combinations, asset sales, dissolution, or other strategic transactions. The company has not set a timetable for completing this review and does not intend to comment further until the board approves a definitive course of action or other disclosure becomes appropriate or required.

The collapse of the Kuva deal leaves Lisata, a clinical-stage pharmaceutical company developing therapies for advanced solid tumors, in a position where it must evaluate its standalone prospects against the potential for an alternative transaction. The company's most recent quarterly filing had already noted that ongoing viability depended on new funding and the Kuva acquisition, underscoring the importance of the strategic review now underway.
