An indirect wholly owned subsidiary of SoundHound will first merge into LivePerson, followed immediately by a second merger that will leave LivePerson as an indirect wholly owned subsidiary of SoundHound.

Italian and Canadian authorities cleared the transaction on June 25, German regulators followed on June 29, and the United Kingdom granted its approval on July 1. The Bulgarian clearance removes the final government hurdle.

With all regulatory conditions now satisfied, the transaction faces one remaining closing condition: approval by LivePerson's stockholders. The companies have already filed a definitive proxy statement and prospectus with the SEC, and LivePerson has mailed it to its stockholders. Once that vote is secured, the mergers can be consummated.

The acquisition represents a significant consolidation in the conversational AI sector. SoundHound, known for voice and agentic AI technology, announced the deal with LivePerson, a digital messaging platform, in April 2026. The combined company expects a $500 million revenue opportunity and an accelerated path to profitability, with a customer footprint that includes 25 of the Fortune 100.
