Our coverage of ProPhase Labs began at the end of June 2026, when the company filed its quarterly report for the period ending March 31, 2026. The filing revealed a sharp deterioration in its financial position. The company had swung from a modest stockholders’ equity of $3.5 million at the end of 2025 to a deficit of $614,000, meaning its liabilities exceeded its assets. This was driven by a net loss of $5.4 million for the quarter, which compared unfavorably to a $4.7 million loss from continuing operations in the same period a year earlier. Revenue had contracted significantly, falling to $478,000 from $1.4 million, while the cost of servicing its debt grew, with interest expense reaching $651,000 and a loss on debt extinguishment adding further pressure. The balance sheet showed cash reserves of just $31,000 against $56.1 million in current liabilities, a substantial portion of which was owed to unconsolidated affiliates. At this point, the company was already trading on the OTC Markets.
A week later, ProPhase Labs filed an amendment to that quarterly report, a move that introduced a new layer of concern. The original filing had been submitted without a completed review by the company’s independent auditor, a violation of SEC rules. The amendment, filed on July 7, stated that the auditor’s review was “substantially complete” and expected to be finalized within days, but until then, all financial statements carried the label “unaudited/not reviewed.” The underlying financial figures in the amendment were unchanged from the original report, leaving the picture of a company with a working capital deficit and a stockholders’ deficit intact, but now with the added uncertainty of numbers that had not passed outside scrutiny.
The situation was compounded just two days later, on July 9, when ProPhase Labs filed a second amendment that restated its first-quarter results. The company disclosed it had discovered errors in its original filing, specifically in revenue, cost of goods sold, and deferred revenue, which also affected prepaid expenses, accounts payable, and deferred costs. The corrections changed the company’s gross margin and overall loss. The restated figures showed a net loss from continuing operations of $5.2 million, or $0.42 per share, which was slightly narrower than the previously reported $5.4 million loss but still represented a deepening of losses compared to the prior year. The restatement also confirmed a stockholders’ deficit and highlighted the precarious cash position, with just $31,000 on hand against $55.7 million in current liabilities, including $27.6 million owed to unconsolidated affiliates. The sequence of a late, unreviewed filing followed immediately by a restatement of results pointed to significant challenges in the company’s financial controls and reporting processes at a time when its balance sheet was already under considerable pressure.
